An open letter to our customers and partners
As you will no doubt have heard by now, Thales and Gemalto announced last December that they had reached an agreement under which Thales will acquire Gemalto by way of an all-cash offer, upon receipt of all regulatory clearances. As part of the regulatory process and in order to obtain regulatory clearances among other agencies and from the European Commission, Thales has committed to divest Thales eSecurity’s nShield business in full to a suitable purchaser. In light of Thales’s divestiture commitment, there are going to be a number of important organizational changes in relation to our nShield product portfolio and related support and services of which we would like to inform you.
Importantly, effective January 1, 2019, the nShield product portfolio, support and services will become part of a standalone organization that will be managed separately and held separate from the rest of the Thales eSecurity business. The name for this new standalone organization will be nCipher Security.
For the time being, nCipher Security business will continue to remain within the same entities of Thales, though nCipher Security will be held separate and managed separately from Thales’s other businesses.
Until further notice, all quotes, orders, contracts and other agreements will remain with the current Thales legal entity you are operating with and all applicable terms and conditions remain unchanged, though those related to the nShield product line will now be managed exclusively by nCipher Security.
You and your organization will be receiving additional information in the coming days and weeks with details on addressing your needs as it applies to your orders, support and /or service requests in relation to the nShield product line.
I want to assure you that we will continue to deliver the highest level of service and quality around all our products, solutions and services as we always have and in particular, this organizational change will not affect the quality of support, delivery and innovation for the nShield product line. If you are a customer of payShield, Datacryptor or Vormetric products, these products are not affected by this and your current business with Thales eSecurity remains unchanged. We look forward to our continued relationship.
